Terms and Conditions

1. Acceptance of Terms

Each Member, including its employees, officers, and directors, agrees to abide by these Terms and Conditions of membership ("Terms and Conditions") in the Applied AI Association LLC ("AAIA"). AAIA reserves the right to modify these Terms and Conditions at any time, with or without notice. Continued participation in AAIA constitutes acceptance of the latest Terms and Conditions.

2. Membership Renewal

AAIA shall send membership renewal invoices to the Member’s primary contact on record at least thirty (30) days prior to the renewal date. Invoices may be sent via email, postal mail, or through a third-party electronic service.

Membership will automatically renew under the same terms unless the Member notifies AAIA in writing of their intent to either not renew or change their membership category. Such notice must be provided no earlier than 5 days prior to the renewal date and no later than 15 days prior. Failure to provide timely notice obligates the Member to pay the full membership fee for the renewal term.

3. Termination Policy

Members may terminate membership at any time but remain responsible for all dues through the end of the current membership term and any applicable renewal period. No refunds will be issued. If dues are unpaid for ninety (90) days, AAIA may terminate membership at its sole discretion, with the Member remaining liable for any outstanding fees.

AAIA reserves the right to suspend or limit member benefits for accounts with overdue balances until payment is received.

4. Code of Conduct

All Members must uphold professional conduct in all AAIA-affiliated spaces, including meetings, events, committees, forums, and correspondence. Prohibited conduct includes, but is not limited to:

  • Harassment or discriminatory behavior.

  • Defamatory or slanderous statements about individuals, organizations, or AAIA itself.

  • Promotion of competing organizations.

  • Unauthorized solicitation.

AAIA reserves the right to revoke membership, with or without cause, for violations of this Code of Conduct.

5. Content Ownership and Copyright

AAIA owns all rights to the AAIA website and content ("AAIA Content"). Members may:

  • Download or print extracts for personal, non-commercial use.

  • Share content with individuals for personal use, provided AAIA is credited, and copyright notices are not removed.

Without AAIA’s express written consent, Members may not:

  • Distribute or commercially exploit AAIA Content.

  • Store AAIA Content on other websites or retrieval systems.

Member Contributions

Any content contributed by Members (e.g., presentations, committee input, ideas) grants AAIA a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display such content, with appropriate credit to the Member where applicable.

6. Confidential Information

AAIA may provide content marked "Confidential" or "Proprietary." Members agree to maintain the confidentiality of such content and not disclose it to third parties.

Member-Shared Information

AAIA does not request, require, or wish to receive confidential or proprietary information from Members. Members who voluntarily disclose such information to AAIA, other Members, or in any AAIA-affiliated space, do so at their own risk.

AAIA shall not be held liable for any unauthorized use, disclosure, or misuse of confidential information by other Members or third parties. Members are responsible for ensuring they do not share any information they deem confidential.

7. Contributions to AAIA

Contributions by Members, including ideas, committee participation, and presentations, are voluntary and non-compensated. By contributing, Members grant AAIA a non-exclusive, royalty-free, perpetual license to use, modify, and distribute such contributions for AAIA’s purposes.

AAIA cannot guarantee confidentiality for content shared in committees, forums, or other collaborative environments.

8. AAIA Trademark Use & Conditions

AAIA grants Members a revocable, non-exclusive license to use AAIA’s name, logos, and marks ("Marks") for the sole purpose of identifying themselves as AAIA Members.

  • Members must follow all AAIA brand guidelines.

  • Members may not sublicense or permit others to use AAIA’s Marks.

  • AAIA may inspect Member’s use of Marks and revoke rights if misuse is found.

  • Members must cease using Marks within 3 days of termination.

Members indemnify AAIA against any claims, damages, or liabilities arising from improper or unauthorized use of AAIA’s Marks.

9. Online Payment Center Terms and Conditions

AAIA’s online payment service facilitates payment of dues, sponsorships, and services. Payments are processed through Stripe/GrowthZone Payment.

  • AAIA takes reasonable steps to secure payment data (e.g., encryption, PCI compliance) but cannot guarantee complete security.

  • AAIA is not liable for data breaches, errors, or service interruptions.

  • Use of the service is at the Member’s sole risk.

10. Recurring Payment Authorization

By enrolling in recurring payments, Members authorize AAIA to charge the provided payment method on a recurring basis.

  • Members may update payment methods by notifying AAIA.

  • AAIA will send payment confirmations via email.

  • Disputes must be reported within thirty (30) days.

Cancellation of Recurring Payments

Recurring payment authorizations may be canceled by written notice. However, Members remain responsible for all unpaid dues and fees. Unpaid balances must be paid within five (5) business days via check or wire. If not, AAIA reserves the right to charge the original payment method for the remaining balance.

11. Privacy Policy

AAIA’s handling of personal data is governed by its Privacy Policy.


12. Disclaimers; Limitation of Liability

AAIA Content, services, and website are provided "as is" without warranties. AAIA disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

AAIA is not liable for:

  • Interruptions, errors, or inaccuracies.

  • Reliance on AAIA Content.

  • Direct, indirect, incidental, consequential, or punitive damages related to AAIA membership or website use.

Maximum liability for any claim is limited to the membership dues paid in the 12 months preceding the claim.

Force Majeure

AAIA shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, government actions, or technical failures.

13. Indemnification

Members agree to indemnify and hold harmless AAIA, its officers, directors, employees, and affiliates from all claims, damages, or liabilities (including legal fees) arising from:

  • Member’s breach of these Terms.

  • Member’s use of AAIA Content or Marks.

  • Member’s participation in AAIA activities.

14. Governing Law and Venue

These Terms and Conditions shall be governed by the laws of Saint Louis County and the City of St. Louis, Missouri, without regard to conflicts of laws principles.

All disputes shall be brought exclusively in the state or federal courts located in Saint Louis County or the City of St. Louis, Missouri.


15. Entire Agreement

These Terms and Conditions, along with the Membership Application and Privacy Policy, constitute the entire agreement between AAIA and Member, superseding any prior agreements.

16. Severability

If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
